Terms of Service
These Terms of Service govern your use of the ezsubs platform operated by ELD MEDIA SRL (CUI 53072768, J2025095567005), Sat Apa, Satu Mare, Romania. By accessing or using ezsubs, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using any part of the ezsubs service, you confirm that you have read, understood, and agree to these Terms of Service and our Privacy Policy. If you do not agree, you must not use the service.
You must be at least 18 years old to use ezsubs. By using the service, you represent that you meet this age requirement.
2. Description of Service
ezsubs is a cloud-based platform that provides AI-powered subtitle and caption generation, editing, styling, and export for video content. The service includes:
- Automated transcription and caption generation using AI
- Caption editing and style customization tools
- AI voice generation (text-to-speech)
- Video export with burned-in captions
- Cloud storage of projects and media files
ezsubs is provided on a subscription basis with different tiers (Free, Starter, Pro, Agency). Features and usage limits vary by plan.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately at [email protected] of any unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in abusive behavior, or misuse the platform.
You may not share your account credentials with others or allow multiple individuals to access the service under a single account (unless you have a plan that explicitly includes multiple seats).
4. Subscriptions and Payments
Paid subscriptions are billed on a recurring basis (monthly or annually) through our payment processor. Prices are displayed in USD and are subject to applicable taxes.
- Subscriptions automatically renew unless cancelled before the renewal date
- You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period
- We do not offer refunds for partial periods, except where required by applicable law
- We reserve the right to change subscription prices with at least 30 days' notice
5. Acceptable Use Policy
You agree not to use ezsubs to:
- Upload, process, or distribute content that is illegal, defamatory, harassing, or infringes third-party intellectual property rights
- Generate or distribute non-consensual intimate media or deepfakes
- Attempt to reverse engineer, decompile, or extract the source code of the platform
- Use automated means (bots, scrapers) to access the service beyond what is permitted by the API
- Resell or sublicense access to the service without written authorization
- Circumvent usage limits, access restrictions, or billing systems
- Upload malware, viruses, or any code designed to harm the service or its users
6. User Content and Intellectual Property
You retain all ownership rights to the videos, audio files, and other content you upload to ezsubs ("User Content"). By uploading content, you grant ELD MEDIA SRL a limited, non-exclusive, worldwide license to process, store, and transmit your content solely to provide the service to you.
We do not claim ownership of your content. We will not use your content for training AI models or for any purpose other than providing the service.
All intellectual property rights in the ezsubs platform, interface, branding, and technology belong to ELD MEDIA SRL. Nothing in these Terms grants you any rights to our intellectual property except the limited right to use the service.
7. AI-Generated Content
ezsubs uses AI technologies for transcription and caption generation. While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing and verifying all AI-generated content before use.
We make no warranty regarding the accuracy, completeness, or fitness of AI-generated transcriptions or captions for any particular purpose.
8. Data Storage and Security
Your projects and media files are stored securely using our infrastructure partners. We implement reasonable security measures to protect your data. However, no system is completely secure and we cannot guarantee absolute security.
Free plan storage is limited. We reserve the right to delete content from inactive free accounts after 90 days of inactivity, with prior email notice.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ELD MEDIA SRL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ELD MEDIA SRL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
Our total aggregate liability to you for any claims arising from your use of the service shall not exceed the greater of (a) the total fees paid by you in the 12 months preceding the claim or (b) EUR 50.
11. Indemnification
You agree to indemnify, defend, and hold harmless ELD MEDIA SRL, its officers, directors, and employees from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.
12. Termination
Either party may terminate this agreement at any time. We may terminate or suspend your access immediately, without prior notice, if you violate these Terms or if we determine in our sole discretion that such action is necessary to protect the service or other users.
Upon termination, your right to use the service ceases immediately. We will retain your data for 30 days after termination, after which it may be permanently deleted.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice on the platform. Your continued use of the service after such changes constitutes acceptance of the updated Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of Romania. Any disputes arising from these Terms or the use of the service shall be subject to the exclusive jurisdiction of the competent courts in Romania.
